PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE SEYGOV PLATFORM. BY ACCESSING OR USING THE SEYGOV PLATFORM AND RELATED SERVICES ("SERVICES"), YOU, ON BEHALF OF YOURSELF AND THE ORGANIZATION YOU REPRESENT ("SUBSCRIBER" OR "YOU"), AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS ("TERMS"). IF YOU DO NOT AGREE TO ALL OF THESE TERMS IN THEIR ENTIRETY, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE SERVICES. YOUR CONTINUED USE OF THE SERVICES CONSTITUTES YOUR ONGOING ACCEPTANCE OF THESE TERMS AS THEY MAY BE AMENDED FROM TIME TO TIME.

1. About Seygov

Seygov, a product of Nassau Technologies LLC ("Seygov," "we," "us," or "our"), provides subscription-based, web-hosted application solutions designed for use by United States local, state, and federal government entities. The platform offers deployable applications, administrative dashboards, API integrations, and related capabilities intended to support public sector operations. Seygov is a technology service provider only. Seygov is not a government agency, is not affiliated with any government agency, and does not act on behalf of any government agency in any capacity whatsoever.

2. Eligibility and Authorized Use

The Services are intended exclusively for use by government agencies, authorized representatives, and approved organizational users operating within the United States. By accessing the Services, you represent and warrant that: (a) you have the full legal authority to enter into these Terms on behalf of your organization; (b) all information provided during registration and throughout use of the Services is accurate, current, and complete; (c) your use of the Services complies with all applicable federal, state, and local laws and regulations; and (d) you are not prohibited by any law or regulation from receiving or using the Services. Seygov reserves the right to verify eligibility at any time and to deny or revoke access to any party that does not meet eligibility requirements, at Seygov's sole discretion.

3. Subscription and Access

Access to the Services is provided on a subscription basis according to the plan selected at the time of purchase or as otherwise agreed in writing. Subscription features, application limits, user limits, storage allocations, and all other plan-specific parameters are subject to the terms of the applicable plan at the time of subscription. Seygov expressly reserves the right to modify, limit, expand, discontinue, or restructure any feature, functionality, or plan tier at any time, with or without prior notice, at Seygov's sole discretion. Continued use of the Services following any such modification constitutes acceptance of the modified terms. No representation, promise, or guarantee of feature availability, uptime, performance, or continuity of any specific functionality is made by Seygov beyond what is expressly stated in a signed written agreement between the parties.

4. Payment, Billing, and Refunds

Subscription fees are billed in accordance with the selected plan and billing cycle. All fees are due in advance and are non-refundable except as expressly required by applicable law. Seygov reserves the right to modify pricing at any time with reasonable notice. Failure to maintain current payment information or failure to pay subscription fees when due may result in immediate suspension or termination of access to the Services without liability to Seygov. Chargebacks, payment disputes, or fraudulent payment activity may result in permanent termination of your account and may be referred to appropriate legal authorities. No refunds, credits, or prorated amounts will be issued for partial subscription periods, unused features, service interruptions, or terminations for cause.

5. Service Availability, Downtime, and Maintenance

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF UNINTERRUPTED AVAILABILITY. Seygov does not guarantee any specific level of uptime, availability, response time, or performance. The Services may be unavailable at any time due to planned maintenance, unplanned outages, hardware failures, software defects, cyberattacks, force majeure events, third-party service failures, internet infrastructure issues, natural disasters, acts of god, government actions, or any other cause whether foreseeable or unforeseeable. SEYGOV SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES, LOSSES, COSTS, OR CONSEQUENCES OF ANY KIND ARISING FROM OR RELATED TO SERVICE DOWNTIME, INTERRUPTIONS, OR UNAVAILABILITY, WHETHER SCHEDULED OR UNSCHEDULED, FORESEEABLE OR UNFORESEEABLE, REGARDLESS OF THE DURATION OR FREQUENCY OF SUCH INTERRUPTIONS. You acknowledge that temporary service interruptions are an inherent characteristic of internet-based services and agree that such interruptions do not constitute a breach of these Terms or entitle you to any compensation, credit, or refund.

6. Data, Backups, and Data Loss

Your organization retains ownership of all data and content submitted or generated through the Services ("Subscriber Data"). Seygov processes Subscriber Data solely for the purpose of providing the Services. SEYGOV SHALL NOT BE LIABLE FOR ANY LOSS, CORRUPTION, UNAUTHORIZED ACCESS TO, OR DESTRUCTION OF SUBSCRIBER DATA FOR ANY REASON WHATSOEVER, INCLUDING BUT NOT LIMITED TO: hardware failure or malfunction; server failure or datacenter incidents; software bugs or defects; cyberattacks, hacking, ransomware, malware, or other malicious activity; theft or physical loss of equipment; human error by Seygov staff, your staff, or any third party; unauthorized access resulting from compromised credentials; acts of god or force majeure events; or any other cause whether within or outside of Seygov's control. Seygov performs data backups on its own schedule, at its sole discretion, for internal operational purposes only. SEYGOV MAKES NO GUARANTEE THAT BACKUPS WILL BE AVAILABLE, COMPLETE, CURRENT, OR RESTORABLE. Seygov is under no obligation to provide data backups or data restoration to Subscribers on demand or within any specific timeframe. Requests for data restoration will be evaluated on a case by case basis and Seygov reserves the right to decline any such request or to charge additional fees for data recovery services. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING YOUR OWN INDEPENDENT BACKUPS OF ALL SUBSCRIBER DATA. Seygov strongly recommends that all Subscribers export and independently archive their data on a regular basis using available export tools provided within the platform.

7. Security and Unauthorized Access

Seygov implements reasonable administrative, technical, and physical safeguards designed to protect the platform and Subscriber Data. However, NO SECURITY MEASURES ARE PERFECT OR IMPENETRABLE, AND SEYGOV DOES NOT WARRANT OR GUARANTEE THAT THE SERVICES ARE IMMUNE FROM UNAUTHORIZED ACCESS, HACKING, DATA BREACHES, OR OTHER SECURITY INCIDENTS. In the event of a security incident, Seygov will make reasonable efforts to notify affected Subscribers in accordance with applicable law. SEYGOV SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR CONSEQUENCES ARISING FROM ANY SECURITY INCIDENT, DATA BREACH, UNAUTHORIZED ACCESS, OR CYBERATTACK, REGARDLESS OF WHETHER SUCH INCIDENT RESULTS FROM SEYGOV'S NEGLIGENCE OR THE ACTIONS OF ANY THIRD PARTY. You are solely responsible for: (a) the security of all credentials used to access the Services; (b) ensuring that all users authorized by your organization use the Services in a secure and responsible manner; (c) promptly notifying Seygov of any known or suspected unauthorized access to your account; and (d) the security and integrity of all systems you integrate with the Services, including but not limited to LDAP servers, SMTP servers, and any other third-party infrastructure.

8. User Responsibilities and Acceptable Use

You are solely responsible for all activity that occurs under your account and all accounts created within your organization's instance of the Services. You agree to: (a) maintain the security and confidentiality of all credentials; (b) ensure all users comply with these Terms; (c) use the Services only for lawful purposes and in compliance with all applicable laws and regulations; (d) not attempt to gain unauthorized access to any portion of the Services or any related systems; (e) not use the Services to transmit, store, or process any content that is unlawful, harmful, defamatory, obscene, fraudulent, or otherwise objectionable; (f) not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services; (g) not resell, sublicense, or otherwise transfer access to the Services to any third party without Seygov's prior written consent; and (h) not use the Services in any manner that could damage, disable, overburden, or impair the platform or interfere with any other party's use of the Services. Seygov reserves the right to suspend or terminate access immediately and without notice for any violation of this section.

9. Public-Facing Applications and Member of the Public Interactions

THE SUBSCRIBER ACKNOWLEDGES AND AGREES THAT SEYGOV IS SOLELY A TECHNOLOGY SERVICE PROVIDER AND IS NOT A PARTY TO ANY INTERACTION, TRANSACTION, COMMUNICATION, OR DISPUTE BETWEEN THE SUBSCRIBER AND ANY MEMBER OF THE PUBLIC WHO ACCESSES OR SUBMITS DATA THROUGH ANY APPLICATION DEPLOYED BY THE SUBSCRIBER USING THE SERVICES. The Subscriber is solely and exclusively responsible for: (a) all interactions with members of the public who use the Subscriber's deployed applications; (b) responding to inquiries, complaints, requests, or communications from members of the public; (c) the accuracy, completeness, and legality of all information collected from members of the public through deployed applications; (d) ensuring that deployed applications comply with all applicable laws governing the collection, use, storage, and disclosure of information submitted by members of the public, including but not limited to privacy laws, accessibility requirements, and public records laws; and (e) any and all consequences arising from the public's use or misuse of the Subscriber's deployed applications. SEYGOV DOES NOT AND WILL NOT RESPOND TO, ENGAGE WITH, OR ASSUME RESPONSIBILITY FOR ANY COMMUNICATIONS, COMPLAINTS, REQUESTS, OR LEGAL CLAIMS INITIATED BY MEMBERS OF THE PUBLIC DIRECTED AT OR RELATING TO THE SUBSCRIBER'S USE OF THE SERVICES OR THE SUBSCRIBER'S DEPLOYED APPLICATIONS. Members of the public are the constituents of the Subscriber, not of Seygov, and the Subscriber is the front-facing responsible party for all public-facing interactions. The Subscriber agrees to indemnify, defend, and hold harmless Seygov from any and all claims, demands, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to any interaction between the Subscriber and any member of the public in connection with the Services.

10. Integrations and Third-Party Systems

Seygov may allow integration with external systems such as identity providers, LDAP servers, email servers, payment processors, or other services controlled or operated by your organization or third parties. SEYGOV DOES NOT OPERATE, MANAGE, CONTROL, OR TAKE RESPONSIBILITY FOR ANY THIRD-PARTY SYSTEMS OR SERVICES INTEGRATED WITH THE PLATFORM. Seygov is not responsible for the availability, performance, security, configuration, or accuracy of any third-party system, and any failure, misconfiguration, or security incident involving a third-party system integrated with the Services shall be solely the responsibility of the Subscriber. Seygov reserves the right to discontinue support for any third-party integration at any time without notice or liability.

11. Misuse and Subscriber Liability

The Subscriber is solely responsible for any misuse of the Services by the Subscriber, its employees, agents, contractors, authorized users, or members of the public who access the Services through the Subscriber's deployed applications. SEYGOV SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, LEGAL CLAIMS, REGULATORY ACTIONS, FINES, OR PENALTIES ARISING FROM THE SUBSCRIBER'S MISUSE OF THE SERVICES OR THE MISUSE OF THE SERVICES BY ANY PARTY AUTHORIZED OR FACILITATED BY THE SUBSCRIBER. The Subscriber agrees that it is solely responsible for ensuring that all applications deployed through the platform are used in a lawful, ethical, and appropriate manner consistent with the Subscriber's obligations to its constituents and applicable law.

12. Termination and Suspension

Seygov reserves the right to suspend, restrict, or terminate the Subscriber's access to the Services at any time, for any reason or no reason, with or without prior notice, at Seygov's sole discretion. Reasons for termination or suspension may include but are not limited to: violation of these Terms; non-payment of subscription fees; fraudulent or unlawful use of the Services; conduct that Seygov determines, in its sole judgment, to be harmful to the platform, other subscribers, or third parties; or any other reason Seygov deems appropriate. Upon termination of the Subscriber's account for any reason: (a) all rights granted to the Subscriber under these Terms will immediately cease; (b) the Subscriber must immediately cease all use of the Services; (c) Seygov may, but is not obligated to, provide the Subscriber with access to or a copy of Subscriber Data following termination; and (d) Seygov may permanently delete Subscriber Data following a reasonable retention period, at Seygov's sole discretion, without further notice or liability. SEYGOV SHALL NOT BE LIABLE TO THE SUBSCRIBER OR ANY THIRD PARTY FOR ANY TERMINATION OR SUSPENSION OF ACCESS TO THE SERVICES, REGARDLESS OF THE REASON FOR SUCH TERMINATION OR SUSPENSION.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEYGOV EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR DATA; AND WARRANTIES THAT DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SEYGOV OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEYGOV, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY: INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; COST OF SUBSTITUTE SERVICES OR PROCUREMENT OF REPLACEMENT GOODS; BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITY; OR ANY OTHER LOSS OR DAMAGE OF ANY KIND, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF SEYGOV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, SEYGOV'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SEYGOV DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY, BUT SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless Seygov and its officers, directors, employees, agents, contractors, affiliates, successors, and assigns from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your organization's deployed applications and all interactions with members of the public through those applications; (e) any data submitted to or generated through the Services by you or your authorized users; (f) any dispute between you and any member of the public, third party, or government authority; (g) any third-party systems integrated with the Services at your direction; or (h) any act or omission of your employees, agents, authorized users, or contractors.

16. Intellectual Property

The Services, including all software, code, interfaces, designs, documentation, trademarks, and related materials, are and shall remain the exclusive intellectual property of Seygov and its licensors. These Terms do not grant you any ownership interest in the Services or any component thereof. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal organizational purposes during the term of your active subscription, subject to these Terms. Any unauthorized use, reproduction, modification, distribution, or exploitation of the Services or any component thereof is strictly prohibited and may result in immediate termination of your account and legal action.

17. Privacy and Data Processing

Seygov's collection and use of information in connection with the Services is governed by Seygov's Privacy Policy, which is incorporated into these Terms by reference. The Subscriber is solely responsible for ensuring that its collection, use, storage, and disclosure of data submitted through the Services — including data submitted by members of the public — complies with all applicable privacy laws, data protection regulations, and agency policies. Seygov processes Subscriber Data only as directed by the Subscriber and as necessary to provide the Services.

18. Force Majeure

Seygov shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond Seygov's reasonable control, including but not limited to: acts of god; natural disasters; pandemics or public health emergencies; war, terrorism, or civil unrest; government actions or regulations; power outages; internet or telecommunications failures; cyberattacks or malicious third-party actions; labor disputes; or any other event beyond Seygov's reasonable control. In such circumstances, Seygov's obligations shall be suspended for the duration of the force majeure event without liability.

19. Modifications to the Services and Terms

Seygov reserves the right to modify, update, or amend these Terms at any time at its sole discretion. Updated Terms will be posted on the Seygov website with a revised effective date. Your continued use of the Services following the posting of updated Terms constitutes your acceptance of and agreement to the updated Terms. It is your responsibility to review these Terms periodically. Seygov also reserves the right to modify, update, discontinue, or restructure any aspect of the Services at any time without notice or liability, including but not limited to features, functionality, user interface, API endpoints, and integrations.

20. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Nassau Technologies LLC is incorporated, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state in which Nassau Technologies LLC is incorporated. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs. Notwithstanding the foregoing, Seygov reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties to the greatest extent possible.

22. Entire Agreement

These Terms, together with Seygov's Privacy Policy and any other agreements or policies expressly incorporated herein, constitute the entire agreement between you and Seygov with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Services. No waiver by Seygov of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure by Seygov to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
